Somnideck - Terms of Use

Welcome to Somnideck. These Terms of Use ("Terms") form a legal agreement between you and Oscar Dog, Inc., a California corporation ("Oscar Dog", "we", "us", "our"), governing your use of the Somnideck mobile application ("the App").

By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. The App

Somnideck is a creative audio tool with two modes:

In Loop Mode, you can record or import audio, loop and trim it, shape it with effects and an equalizer, and export the resulting audio. Oscar Dog does not claim ownership of audio you create.

In Noise Mode, you can listen to and mix together proprietary audio environments and the Nocturne sound bath provided by Oscar Dog. Noise Mode is listening-and-mixing only; it does not create user-owned content.

Somnideck is intended for personal, non-commercial creative use and personal listening.

Oscar Dog does not collect personal information or usage analytics from your use of the App, and your audio is processed on your device. If this ever changes, Oscar Dog will update these Terms and the App's privacy disclosures, and obtain any consent required by law, before collecting such data.

Somnideck is not a medical device. It is not designed to diagnose, treat, cure, or prevent any medical, psychological, or sleep-related condition. If you have concerns about your sleep, mental health, or physical wellbeing, consult a qualified healthcare professional. Somnideck should not be used as a substitute for professional medical advice, diagnosis, or treatment.

As with any audio device or application, listening at high volume or for prolonged periods can damage your hearing. Somnideck is intended for extended and overnight listening, often through headphones, and you are responsible for keeping playback at a safe level and for making use of any hearing-safety features available on your device.

Noise Mode is designed to mask background sound, which means it may also prevent you from hearing sounds you need or want to hear — including smoke or carbon-monoxide alarms, emergency alerts, a crying child, or a knock at the door. You are responsible for ensuring you can still hear anything important to your safety and the safety of others while using the App, particularly while sleeping or at high volume.

2. Studio and Lifetime Access

The App offers a free tier, paid subscription tiers called Studio (Monthly and Annual), and a one-time Lifetime purchase that unlocks Studio. Studio unlocks the additional features described in the App at the time of purchase. Content packs, add-ons, and other in-app purchases, if offered, are sold separately and are not part of Studio.

Pricing, billing, and trial terms:

  • Both the Annual and Monthly subscription plans begin with a 3-day free trial. The Lifetime option is a one-time purchase and does not include a free trial.

  • For subscriptions, your Apple ID will be charged at confirmation of purchase, then within 24 hours before each renewal period unless you cancel at least 24 hours before the period ends. Subscriptions automatically renew at the then-current price.

  • The Lifetime option is a single, one-time charge to your Apple ID at confirmation of purchase. It does not renew and is not billed on a recurring basis.

  • All payments are processed by Apple. Oscar Dog does not access, store, or process your payment information at any time.

  • You can manage or cancel your subscription at any time in Settings → Apple ID → Subscriptions on your iOS device.

  • Subscriptions cannot be cancelled for the current active period. Unused portions of a free trial period are forfeited when you purchase a subscription or the Lifetime option.

What "Lifetime" means:

  • "Lifetime" refers to the operational lifetime of the App, not the lifetime of the purchaser. Lifetime access continues for as long as the App remains available, supported, and operational on the App Store. Oscar Dog does not guarantee any specific duration of availability and may, at its sole discretion, discontinue, modify, or cease support for the App at any time.

  • The Lifetime purchase unlocks the Studio features available in the App at the time of purchase, plus any future features that Oscar Dog, in its sole discretion, includes within Studio.

  • The Lifetime purchase does not include any additional content packs, add-ons, expansions, or other in-app purchases that Oscar Dog may offer separately, whether now or in the future. These items, if offered, are sold separately and are not covered by the Lifetime purchase.

  • The Lifetime purchase is tied to your Apple ID and is non-transferable. It does not entitle you to any refund, credit, or compensation if the App is discontinued, removed from the App Store, or materially changed.

Refunds are handled exclusively by Apple under Apple's refund policy, including for the Lifetime purchase. Oscar Dog does not issue refunds directly. To request a refund, contact Apple Support or visit reportaproblem.apple.com.

3. License

Oscar Dog grants you a personal, limited, non-exclusive, non-transferable, revocable license to use the App on Apple devices you own or control, solely for your personal, non-commercial use, and subject to these Terms and the Apple Media Services Terms and Conditions.

You may not:

  • Copy, modify, distribute, sell, rent, lease, or sublicense the App or any part of it.

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the App.

  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices.

  • Use the App in any way that violates these Terms or applicable law.

4. Your Audio

In Loop Mode, the App allows you to record, import, edit, store, and export audio ("Your Loops").

As between you and Oscar Dog, Oscar Dog claims no ownership of Your Loops. The App processes Your Loops entirely on your device. Oscar Dog does not collect, upload, store, transmit, access, or otherwise have any ability to see or use Your Loops.

You are solely responsible for Your Loops, including:

  • Ensuring you have the legal right to record any audio, including obtaining consent from any other people whose voices or speech you record. Some jurisdictions, including California where Oscar Dog is based, require the consent of all parties to a recorded conversation; you are responsible for knowing and complying with the laws that apply to where you are recording.

  • Ensuring you have the rights to any audio you import into the App, including but not limited to copyright-protected material. The App does not verify the source or rights status of any audio you import.

  • Any use you make of Your Loops outside the App, including but not limited to exporting, sharing, distributing, or publishing.

Your responsibility for the legal status of audio in Your Loops applies regardless of how that audio came into the loop — whether recorded through the microphone, imported from a file, or otherwise included.

This section applies only to loops you create in Loop Mode. The audio assets in Noise Mode (the Nocturne sound bath and the audio environments) are governed by Section 6 below.

5. Acceptable Use

You agree not to use the App:

  • For any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.

  • To record any person without their knowledge or consent in any jurisdiction where such recording is unlawful.

  • To create, store, or distribute content that infringes the intellectual property rights, privacy rights, or other rights of any third party.

  • To create, store, or distribute content that is defamatory, harassing, threatening, obscene, or otherwise unlawful.

  • In any manner that could damage, disable, overburden, or impair the App or interfere with any other party's use of the App.

  • To attempt to gain unauthorized access to the App, its features, or any associated systems.

You are solely responsible for your use of the App and for any consequences of that use. Oscar Dog has no control over how you use the App and accepts no responsibility for your conduct or for any content you create, import, store, or share using the App.

6. Oscar Dog's Intellectual Property

The App, including its software, audio assets, sound design, visual design, brand elements (including the name "Somnideck"), and any other materials provided by Oscar Dog, is owned by Oscar Dog or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

The audio you can play in Noise Mode — including the Nocturne sound bath and the audio environments — is proprietary, copyrighted audio owned by Oscar Dog. Your subscription gives you the right to listen to this audio within the App. It does not transfer ownership of the audio, and the App is intentionally designed so that this audio cannot be exported, recorded, or otherwise extracted.

Loops you create yourself in Loop Mode are your own creative work and are not subject to this section. See Section 4.

7. Third-Party Services

The App is distributed exclusively through the Apple App Store. Your use of the App is also subject to Apple's terms and policies. Oscar Dog is not affiliated with Apple beyond Oscar Dog's role as an App Store developer.

The App's export functionality (available in Loop Mode for Your Loops) hands content off to other apps on your device — such as Messages, Mail, Files, or GarageBand — using the iOS share sheet. Once content leaves the App through the share sheet, it is governed by the terms and privacy policies of the receiving app or service, not by Oscar Dog.

8. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, OSCAR DOG DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT.

Oscar Dog does not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Oscar Dog does not warrant that any defects will be corrected, or that the App will meet your requirements or expectations.

You use the App at your own risk. You are solely responsible for any damage to your device, loss of data, or any other harm that results from your use of the App.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OSCAR DOG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF AUDIO RECORDINGS, LOSS OF PROFITS, LOSS OF GOODWILL, OR DEVICE DAMAGE, EVEN IF OSCAR DOG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OSCAR DOG'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID FOR THE APP IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE U.S. DOLLARS ($5.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. To the extent such laws apply to you, some or all of the disclaimers and limitations above may not apply, and you may have additional rights.

10. Indemnification

You agree to defend, indemnify, and hold harmless Oscar Dog and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the App; (b) Your Loops; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property, privacy, or publicity right.

11. Termination

Oscar Dog may terminate or suspend your access to the App at any time, without prior notice, for any reason, including if you violate these Terms.

You may stop using the App at any time by uninstalling it from your device. Uninstalling the App does not automatically cancel any active subscription — to cancel your subscription, manage it through your Apple ID Settings as described in Section 2.

Provisions of these Terms that by their nature should survive termination shall survive, including the Disclaimers, Limitation of Liability, Indemnification, Intellectual Property, and Governing Law sections.

12. Changes to These Terms

Oscar Dog may update these Terms from time to time. When that happens, the "Last updated" date at the top of this document will be updated, and the updated document will become effective at the date stated. Material changes will, where reasonably practicable, be referenced within the App. Your continued use of the App after changes take effect constitutes your acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the App shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

14. Apple-Specific Terms

You acknowledge that these Terms are between you and Oscar Dog, not with Apple, and that Apple is not responsible for the App or its content.

Oscar Dog is solely responsible for providing any maintenance and support services for the App, to the extent any such services are required, and Apple has no obligation whatsoever to furnish any maintenance or support services for the App.

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Oscar Dog's sole responsibility.

Oscar Dog, not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession or use of it, including but not limited to (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar laws. Nothing in these Terms limits Oscar Dog's liability to you beyond what is permitted by applicable law.

In the event of any third-party claim that the App, or your possession or use of the App, infringes that third party's intellectual property rights, Oscar Dog, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

You represent that (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right to enforce them against you as a third-party beneficiary.
